Welcome to Kē by Karamo. By creating an account or using the Kē app, website, or services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. The Service

Kē is a wellness platform offering content, community spaces, and resources operated by Keep It Simple LLC ("we," "us," "Kē"). Use of the Service is for your personal, non-commercial benefit.

2. Eligibility

You must be at least 18 years old to use the Service or participate in our SMS messaging program. By using the Service, you represent and warrant that:

  • You are at least 18 years old

  • You have the legal capacity to enter into a binding agreement

  • You will comply with all applicable laws and these Terms

3. User Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to:

  • Provide accurate and current information

  • Keep your password secure

  • Notify us immediately of unauthorized access or suspected security breaches at [email protected]

We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content & Community Guidelines

You may post messages, comments, photos, videos, and other content within community areas of the Service (“User Content”). You retain ownership of your User Content. However, by posting content, you grant Kē a worldwide, non-exclusive, royalty-free license to host, display, reproduce, distribute, and use your content within the Service.

5. Zero Tolerance for Objectionable Content and Abusive Behavior

Kē maintains a strict zero-tolerance policy for objectionable or abusive content and behavior. You may not post, share, upload, or engage in:

  • Hate speech, slurs, or content targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any protected characteristic

  • Harassment, bullying, threats, or intimidation of any user

  • Sexually explicit, pornographic, or sexually suggestive content

  • Content depicting or promoting violence, self-harm, or harm to others

  • Content depicting or sexualizing minors in any way

  • Spam, scams, fraudulent claims, or commercial solicitation outside Kē-sanctioned channels

  • Content that promotes illegal activity

  • Impersonation of any person, including Kē staff, Karamo Brown, or other members

  • Sharing of another person's private information without consent

  • Any content reasonably considered objectionable, offensive, or abusive

Violations may result in immediate content removal, account suspension, or permanent termination without notice.

6. Reporting & Blocking

Users may report content or block other users within the Service. You may:

  • Report content using in-app reporting tools

  • Block users to prevent interactions and visibility

We review reported content and may take action including:

  • Content removal

  • User warnings

  • Temporary suspension

  • Permanent account termination

We aim to review confirmed violations within 24 hours whenever reasonably possible.

7. Website Use Restrictions

You agree not to:

  • Use the Service for unlawful purposes

  • Attempt unauthorized access, hacking, or disruption

  • Upload malware or harmful code

  • Copy, scrape, reproduce, or redistribute Service materials

  • Interfere with platform functionality or security

  • Use the Service for commercial exploitation without authorization

All use must comply with applicable local, state, national, and international laws.

8. Intellectual Property

All content, branding, logos, graphics, videos, downloads, software, text, taglines, and materials provided by Kē are owned by Keep It Simple LLC or its licensors and protected under intellectual property laws. Except for your own User Content, you may not:

  • Copy

  • Reproduce

  • Modify

  • Republish

  • Distribute

  • Sell

  • Create derivative works from Service materials

We grant you a limited, revocable, non-transferable, non-exclusive license to use the Service for personal use only.

9. Health & Wellness Disclaimer

Kē is provided "as is" without warranty of any kind. The Service is for general wellness, educational, and community purposes only. The Service does not provide:

  • Medical advice

  • Mental health treatment

  • Psychological counseling

  • Therapy

  • Diagnosis

  • Emergency services

Always consult qualified medical or mental health professionals regarding health concerns. Your use of the Service is at your own risk.

10. Disclaimer of Warranties

The Service is Provided “as is” and “as Available” Without Warranties of Any Kind, Express or Implied. To the Maximum Extent Permitted by Law, We Disclaim All Warranties Including:

  • Merchantability

  • Fitness for a Particular Purpose

  • Non-infringement

  • Accuracy

  • Reliability

  • Security

  • Availability

We do not guarantee uninterrupted or error-free operation of the Service.

11. Limitation of Liability

To the Maximum Extent Permitted by Law, Keep It Simple LLC, Kē, Its Affiliates, Employees, Contractors, Licensors, and Partners Shall Not Be Liable for:

  • Indirect Damages

  • Incidental Damages

  • Consequential Damages

  • Lost Profits

  • Loss of Data

  • Personal Injury

  • Business Interruption

Arising From Your Use of or Inability to Use the Service.

12. Indemnification

You agree to defend, indemnify, and hold harmless Keep It Simple LLC, Kē, affiliates, employees, contractors, licensors, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your use of the Service

  • Your User Content

  • Your violation of these Terms

  • Your violation of any law or third-party rights

13. Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. You agree that any dispute, claim, or controversy arising from these Terms or the Service shall be resolved through final and binding confidential arbitration administered by the American Arbitration Association (“AAA”).

By agreeing to arbitration, you waive:

  • Your right to a jury trial

  • Your right to participate in a class action lawsuit

  • Your right to participate in representative proceedings

Arbitration Terms

  • Claims must be filed within one (1) year of the event giving rise to the dispute

  • Arbitration will occur in California unless otherwise agreed

  • AAA Commercial Arbitration Rules will apply

  • Each party bears its own legal costs unless otherwise determined by the arbitrator

Exceptions

The following claims are excluded from arbitration:

  • Small claims court matters

  • Intellectual property disputes

  • Requests for injunctive relief

All excluded claims must be brought exclusively in California courts.

14. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any disputes not subject to arbitration shall be resolved exclusively in California courts.

15. Privacy

Your use of the Service is also governed by our Privacy Policy.

We may collect personally identifiable and non-personally identifiable information including:

  • Contact information

  • Device/browser information

  • Usage activity

  • Cookies and analytics data

We use this information to:

  • Operate and improve the Service

  • Provide customer support

19. Copyright Complaints

If you believe content on the Service infringes your copyright, you may send a notice to: [email protected]. We may remove allegedly infringing content where appropriate.

You may discontinue use of the Service or delete your account at any time. Sections intended to survive termination shall remain enforceable.
